1. Definitions

For purposes of these Terms:

Ownership

You retain ownership of your User Content.

License to Us

By posting User Content, you grant Happy Clam LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and modify your User Content as necessary to operate, maintain, and improve the Site. This includes formatting and technical modifications.

This license continues for as long as the content remains on the Site and may survive in backups, archives, or soft-deleted states for system integrity purposes.

Responsibility

You are solely responsible for your User Content. You may not post content that:

• Is unlawful, defamatory, abusive, harassing, or hateful.
• Infringes intellectual property rights.
• Contains malware, deceptive links, or spam.
• Impersonates another person or misrepresents affiliation.

We may moderate, remove, or restrict User Content at our discretion.

6. Intellectual Property

Unless otherwise stated, all Site Content is owned by Happy Clam LLC and/or Derrick Meade and is protected by intellectual property laws.

The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including:

• Uninterrupted or error-free operation

You agree to defend, indemnify, and hold harmless Happy Clam LLC and its owners, officers, and affiliates from any claims, damages, liabilities, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms,
• Your User Content,
• Your violation of any law or third-party rights.

14. Termination

You may terminate your relationship with the Site by deleting your Account.

We may suspend or terminate access for violations of these Terms or for security reasons.

Sections regarding intellectual property, User Content licenses, disclaimers, limitation of liability, indemnification, and governing law survive termination.

15. Governing Law and Venue

These Terms are governed by the laws of State of Maryland, USA, without regard to conflict-of-law principles.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Maryland, and you consent to personal jurisdiction in those courts.

16. Changes to These Terms

We may update these Terms periodically. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
